HPB d.d. - Code of Corporate Governance Questionnaire for 2025 - Correction

As HANFA, during the processing of data from the submitted GIKU-UOU and GIKU-UOP questionnaires, identified certain discrepancies in the responses that may affect the compliance assessment, the Bank hereby corrects, due to an obvious clerical error, its response to the question listed below in the Compliance Questionnaire with the Corporate Governance Code for 2025. as follows: - For the question: “3. Appointment of Management and Supervisory Board Members/Role of the Supervisory Bord / Has the Supervisory Board adopted a succession plan?”, the answer “NO” is corrected to “PARTIALLY”, with the following explanation: The Nomination Committee established a Succession Plan for the members of the Bank's Management Board, to which the Supervisory Board gave its approval. The Bank does not have a succession plan for the Supervisory Board, because, the Supervisory Board is elected in accordance with the Regulation on the Criteria for the Selection and Appointment of Members of the Supervisory and Management Boards of Legal Entities of Special Interest to the Republic of Croatia and the Manner of Their Selection. Pursuant to Article 8 of that Regulation, candidates for membership of the Supervisory Board are proposed to the General Meeting by the Government of the Republic of Croatia. Successors (deputies) for individual senior management positions have been determined by the Bank's Management Board through the Bank's internal Organisation Rulebook.

Subsequently observed error in the clarification text of the Compliance Questionnaire with the Corporate Governance Code for 2025 regarding questions from section 3. „Appointment of Management Board and Supervisory Board members/Role of the Supervisory Bord“.
